Charterhouse Capital Partners announces agreement to sell Vermeg

November 02, 2026

Charterhouse Capital Partners (“Charterhouse”), one of the longest-established private equity firms operating in Europe, today announces that it has entered into an agreement to sell its participation in Vermeg (“the Company”), a global provider of technology for capital markets and life insurance, to Advent, a global private equity investor, with a wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) participating as a minority co-investor. Vermeg’s founder, Badreddine Ouali, will remain a shareholder in the business.

Upon completion, the transaction will mark a successful exit for Charterhouse, following a period of close partnership with Ouali, and the management team that has seen the business accelerate its growth, sharpen its strategic focus and establish strong foundations for its next phase of growth.

Vermeg, which has partnered with Charterhouse since 2020, operates two established platforms across Capital Markets and Life Insurance, providing solutions spanning Collateral Management, Post-Trade Operations, Asset Servicing and Policy Administration. With a global presence and long-standing relationships with some of the world's leading banks, central banks, insurers and financial market infrastructure providers, Vermeg's technology is deeply embedded in its clients' operations.

During its partnership period with Charterhouse, Vermeg has undergone a significant transformation, evolving into a more focused software business with a strong recurring revenue model. Working closely with the Company’s founder and management team, Charterhouse has helped reposition Vermeg around its core Capital Markets and Insurance platforms, alongside continued investment in technology, AI innovation and international expansion.

The sale will mark Charterhouse's third exit in the past twelve months, following the recent realisation of Casa Optima and partial realisation of Novétude Group. Charterhouse has now returned over €1bn in proceeds to investors over the past two years. The exit also follows a number of recent investments from Charterhouse, including in Animalcare Group, Batibig and Winback, as the firm continues to pursue opportunities across its core sectors of Services and Healthcare.

Haitham Nasri, Partner at Charterhouse Capital Partners, said: “We are proud to have worked alongside Badreddine and the Vermeg management team to support the Company's development into a leading provider of mission-critical software to the global financial services industry. Together, we have sharpened Vermeg's strategic focus, accelerated its international growth and invested in the technology and capabilities that underpin its leading market position. We wish Badreddine and the team every success in this next chapter.”

Badreddine Ouali, Founder of Vermeg, added: “Charterhouse has been a valued partner to Vermeg since 2020, sharing our vision for the business and providing the expertise and support to help us realise our ambitions. Over the course of our partnership, we have made significant progress in developing the business, enhancing our offering and expanding our client base while deepening relationships with existing customers. As we enter this next stage, our focus remains on delivering exceptional technology and service, while continuing to innovate and build on the progress we have made.”

Completion of the transaction is expected in the first quarter of 2027, subject to customary closing conditions, including regulatory approvals. Evercore is acting as financial adviser to Vermeg and Charterhouse and Sycomore as financial adviser to the founder and the Management team.
